This is one of the key areas of my practice. I assist both corporations and SMEs with their day-to-day operational and governance matters, such as Trade Registry operations.

I draft, negotiate, and revise by-laws and shareholders’ agreements, negotiate mergers and acquisitions and their execution, as well as manage spin-offs and dissolution/liquidation processes. Furthermore, I prepare the necessary company resolutions following shareholders’ and board meetings, and I handle employee and management share allocation and benefit plans.

I have assisted in the incorporation of limited liability companies, partnerships, and branches, while also overseeing any necessary corporate amendments for seamless operations. I have also worked on corporate restructuring and greenfield and brownfield projects.

Furthermore, I assist clients in every aspect of their internal compliance programs, covering among others competition law, e.g., audits, trainings, compliance documents, and specialized legal advice.
